Terms of service
1. Introduction
Welcome to Mitsuhiro Arita Original Collection (the "Site"), operated by 312STUDIO inc. ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Site and any purchases made through it. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
2. Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to place an order. By placing an order, you represent that you meet this requirement and that all information you provide is accurate and complete.
3. Products and Pricing
We make reasonable efforts to display products and their descriptions accurately. However, colors, textures, and details of physical artwork and printed materials may vary slightly from what is shown on your screen due to display differences and photographic reproduction.
Prices are displayed in Japanese Yen (JPY) or U.S. Dollars (USD) depending on your location and are subject to change without notice. Prices for customers in Japan include Japanese consumption tax (消費税). International prices do not include customs duties or import taxes, which are the buyer's responsibility (see our Refund Policy).
4. Orders and Payment
All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order at our sole discretion, including for reasons of product availability, suspected fraud, or errors in product or pricing information.
Payment is due at the time of order. We accept payments through Shopify Payments (credit cards, Apple Pay, Google Pay, and other supported methods). Your order is confirmed only after payment has been successfully processed.
5. Customs, Duties, and Import Taxes
For international orders, customs duties, import taxes, and handling fees imposed by the destination country are the customer's responsibility and are not included in our prices or shipping charges. These charges are typically collected by the delivering courier or customs office and should not be confused with additional shipping fees.
We are not registered for EU IOSS, UK VAT, or other foreign tax collection schemes, and we do not collect VAT or GST at checkout on behalf of any destination country. Any such taxes will be billed to you by the courier upon delivery.
Japanese consumption tax (消費税) is included only in prices charged to customers shipping within Japan.
We do not under-declare merchandise value or mark shipments as "gifts." Doing so is prohibited under U.S. and international regulations.
6. Shipping, Returns, and Cancellations
Shipping terms, delivery times, and insurance are described in our Shipping Policy. Returns, cancellations, damage claims, and refunds are described in our Refund Policy. Both documents form part of these Terms.
7. Auction Items
Auction items — including original artwork and items sold through bidding — are subject to additional terms described in our Auction Policy. A winning bid or accepted offer constitutes a binding commitment to purchase. If payment is not received within the timeframe stated at the time of the auction, the item may be re-offered or sold to another buyer at our sole discretion.
8. Intellectual Property
All images, illustrations, artwork, text, and other content on the Site are the intellectual property of Mitsuhiro Arita, 312STUDIO inc., or their respective licensors, and are protected by Japanese and international copyright laws.
Purchase of a physical artwork, print, or merchandise does not transfer any copyright, reproduction rights, or other intellectual property rights. You may not reproduce, distribute, publish, sell, or commercially exploit any content from the Site or any purchased item without our prior written consent.
Personal, non-commercial display and enjoyment of purchased physical items is permitted.
9. Prohibited Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of applicable laws;
- Reproduce, scrape, mirror, or systematically copy content from the Site;
- Interfere with the security or normal operation of the Site;
- Resell, repackage, or misrepresent purchased items without written permission;
- Impersonate any person or entity in communications with us.
10. Disclaimer of Warranties
The Site and all products are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
11. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or related to these Terms, the Site, or any purchase shall not exceed the amount you paid for the product giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or death or personal injury caused by our negligence.
12. Indemnification
You agree to indemnify and hold harmless 312STUDIO inc., Mitsuhiro Arita, and our affiliates, officers, and employees from any claim, liability, or expense (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site or purchased items.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan, without regard to its conflict of laws provisions. Any dispute arising from these Terms or your use of the Site shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, services, or applicable law. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Site after such changes constitutes acceptance of the updated Terms.
